We currently have an exciting opportunity for a legal counsel in our Bracknell offices.

The role is based in our Bracknell HQ with bright and modern offices and state of the art laboratories. There is on site secure and free car parking.

The role is 35 hours per week with the option to finish at 2:30pm on Fridays

Responsibilities:

RESPONSIBILITIES:

 

Customer: Responsible for regional commercial contract review for legal concerns and recommendations of potential improvement to contractual terms in order to mitigate risk and protect the interest of Afton.  

Involve the Corporate Law Department as needed.
Prepare related documents.

 
Supplier and 3rd Party Vendors: Responsible for regional contract review for legal concerns and recommendations of potential improvement to contractual terms in order to mitigate risk and protect the interest of Afton

Entity: Prepare, with the assistance of outside counsel or the Corporate Law Department, Board meeting minutes, statutory filings, change of directors and review of company accounts, share certificates, share purchase agreements

Other legal related duties as required (e.g. prepare documents for signature by Finance Director, prepare Powers of Attorney)
Assist with notarization issues with external notary for items such as visas and leases.

 
Intellectual Property: Act as a liaison and counsel for region in ensuring Afton’s IP strategy for its brand and technology is implemented.   Assist the IP attorneys with local IP litigation, opposition cases, etc.

 
Human Resources

Act as Data Protection Officer.
Assist with putting together draft HR agreements and translations as required.

 
Organizational Development

Provide training on key legal issues involving the Code of Conduct, including antitrust, antibribery and export control
Train employees as necessary on how to use legal contract systems.
Monitor and highlight continuous improvement opportunities in contract management
Provide risk mitigation strategy in key areas such as agent and distributor management, regional litigation and legal cost management.
Serve as key legal advisor to VP & MD and local leadership team in the region
Proactively provide updates to regional leadership and Law Department with respect to material legal developments impacting the operation of the business.

 
Claims: Serve as a liaison with the Corporate team on the legal aspects concerning product losses or claims against the company and on local law matters.   Represent Afton in legal proceeding as required.

Qualifications:

Prior legal experience; area of focus is not critical, but ideally some commercial, HR and/or company secretarial experience ideal

Good time management skills, including most importantly the ability to address small issues quickly, to understand what issues are important and which issues should be addressed summarily, and with responsiveness to the local management team
